CAIXA Lotteries appoints new president until next December 21st

Through the Union’s Official Gazette, the Board of CAIXA Loterias S.A informs in its General Assembly that Charles Carvalho Guedes was elected as President and Ribeiro da Silva e Castro as Executive Director, both until December 21st. The company, wholly owned by CAIXA, was created in the context of LOTEX's privatization process and was withdrawn from the same process by Decree 9.155. Its corporate purpose is to exclusively manage the services of federal lotteries.

Charles Carvalho Guedes was federal auditor of finance and control, and coordinator of corporate participation of the National Treasury. He also worked as an alternate director of the Brazilian Reinsurance Institute (IRB).

For his part, Iuri Castro has been working at Caixa since 1990 where he began acting as Costumers and Business Manager. In that role he had a prominent work in the creation of Mega da Virada, Easter Lotomania and others.

Within his tasks, Castro actively participated in the design of a model for the performance of Fixed Odds Sports Betting in Brazil, prior to the legalization of December 2018. In 2013, he was appointed National Manager of Negócios Lotéricos, a position he held until last year, when he was first promoted to National Superintendent and then to National Manager.

CAIXA Lotteries was created in the context of the privatization process of the Exclusive Instant Lottery (LOTEX) and withdrawn of the process by Decree No. 9.155, of 09/11/2017, reflecting the decision of the Ministry of Finance to make the direct concession of LOTEX, as stated in art. 3 of Decree No. 9,327 of 04/03/2018.

On April 12, 2018, CAIXA's Board of Directors authorized the beginning of studies for the migration of federal lottery management to CAIXA Lotteries. Such decision is reflected in the Company's statute approved on December 14, 2018, which, in addition to promoting the adjustments required by Law No. 13,303 / 2016, changed its corporate purpose in order to achieve the objective of exclusively managing the lottery services pursuant to specific legislation. The studies are ongoing and still require internal and external approvals for its completion.

On December 14, 2018, the Company's statute was amended to include adjustments to Law 13,303 / 2016, to change the corporate name and its corporate purpose. These adjustments aimed to adapt the company to its new strategic orientation adopted after the exclusion of the company from LOTEX's privatization process.

CAIXA Lotteries governance structure contemplate the General Meeting, represented by Caixa Econômica Federal as sole shareholder, the Fiscal Council and the Board of Executive Officers, composed of the Chief Executive Officer and an Executive Officer. The company does not have a Board of Directors as permitted by Law No. 6,404 / 76 in its Article 138, Paragraph 2.

To maintain and support its activities, CAIXA Lotteries uses the prerogatives established in the Structure Sharing Agreement signed with its Controlling company, which establishes the form of operational sharing of CAIXA areas, such as: accounting, auditing, budget, infrastructure, information technology, among others.

CAIXA Lotteries does not have its own staff. The company's activities are performed by CAIXA employees designated to compose the Working Group (WG).
